These Terms of Service (“Terms”) govern your access to and use of the Hamro Digital platform, website, and services (the “Service”) provided by Hamro Digital Pvt. Ltd. By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.
1. Eligibility and Account
You must be at least 16 years old and able to enter into a binding contract. You are responsible for keeping your login credentials secure and for all activity that occurs under your account. Notify us immediately of any unauthorised use.
2. Your Store and Content
You retain ownership of the content you add to your store (products, text, images, and other materials). You are solely responsible for your content, your products, and your relationship with your customers. You grant us a licence to host, display, and process your content only as needed to operate the Service for you.
3. Acceptable Use
You agree not to use Hamro Digital to sell illegal, counterfeit, or prohibited goods or services; to infringe intellectual-property rights; to send spam; to distribute malware; or to violate any applicable law. We may remove content or suspend stores that breach these rules.
4. Plans, Billing, and Payments
Paid plans are billed in advance on a monthly or annual basis. Prices are shown in NPR unless stated otherwise. You authorise us to charge your chosen payment method for the plan you select. Fees are non-refundable except as described in our Refund Policy.
5. Free Trial
Where a free trial is offered, it converts to a paid subscription at the end of the trial unless you cancel beforehand.
6. Payments From Your Customers
Payments made by your customers are processed by third-party payment gateways and settled to your connected account. We are not a party to transactions between you and your customers, and we do not hold your funds.
7. Third-Party Services
The Service integrates third-party providers (such as payment gateways, courier and delivery partners, and analytics). Your use of those services is subject to their own terms and policies.
8. Intellectual Property
The Hamro Digital platform, software, themes, and branding are owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You may not copy, resell, or reverse-engineer the platform.
9. Service Availability and Support
We strive to keep the Service available and reliable but do not guarantee that it will be uninterrupted or error-free. Support is provided according to your plan.
10. Suspension and Termination
We may suspend or terminate your account if you breach these Terms, fail to pay, or create a security or legal risk. You may close your account at any time. On termination, your right to use the Service ends.
11. Disclaimers
The Service is provided on an “as is” and “as available” basis without warranties of any kind, to the fullest extent permitted by law.
12. Limitation of Liability
To the maximum extent permitted by law, Hamro Digital shall not be liable for any indirect, incidental, special, or consequential damages, or for loss of profits, revenue, or data. Our total liability for any claim is limited to the fees you paid to us in the three months before the claim arose.
13. Indemnification
You agree to indemnify and hold Hamro Digital harmless from claims, damages, and expenses arising out of your store, your content, your products, or your violation of these Terms or any law.
14. Governing Law
These Terms are governed by the laws of Nepal. Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Nepal.
15. Changes to These Terms
We may update these Terms from time to time. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
